1.Services/ Product / Product Services : The Company may agree to provide IT Services / Products or Customize services in accordance with the Company's Standard Conditions
The articles IT Services or things or any of them or any other related service of them to be supplied by the Company will be an intellectual property rights means copyrights (including software), patents, utility models, trade marks, service marks, design rights (whether registered or unregistered), database rights, proprietary information rights and all other similar proprietary rights as may exist anywhere in the world.
Services : services to be supplied by the Company to the Customer
2. Quotations : Any quotation or estimate does not constitute an offer by the Company and may be altered or withdrawn without notice. The right is reserved to increase prices to cover increases in Cost, delivery charges or other outgoings as at the date of Delivery in the case of IT Services / Products or completion in the case of Services.
Prices quoted are for the specified works and Customized orders may result in increased prices. Items quoted as being available from stock are subject to being unsold at the time of acceptance of order.
3. Acceptance of Orders : All types of orders are accepted with related to IT Services / IT Products supplied only upon and subject to the Company's Standard Conditions. Any Services placed by a Customer shall constitute an offer to contract upon the Company's Standard Conditions and no addition or variation there from or contradiction thereof whether contained in the Customer's order or otherwise shall apply unless the same shall be accepted and agreed in writing by an officer of the Company authorized to sign on its behalf.
No Services shall be binding on the Company unless and until accepted or confirmed in writing (including enquiry Emails or other mode of documents) by the Company.
4. Prices, Taxes & Billing :
a. Catalogs, price lists and other advertising literature or material as used by the Company are intended to provide an indication only as to price and range of IT Services / Products and/or Services offered and no prices, descriptions or other particulars contained therein shall be binding on the Company
b. Taxes are not included in the prices quoted and the Customer shall reimburse the Company for all taxes excises or other charges which the Company may be required to pay to any government or statutory authority (International, National state or local) upon IT Services / Products or Custom Services or the sale production transportation or delivery thereof
c. Unless otherwise specifically agreed prices do not include delivery charges to the Customer
d. Company will never share its internal agreement , Bills or company internal documents as per IT Services and standards
5. Legal Duty to Disclose : It may be necessary − by law, legal process, litigation, and/or requests from public and governmental authorities within or outside your country of residence − for Digitaux Technologies to disclose your personal information.
We may also disclose information about you if we determine that for purposes of national security, law enforcement, or other issues of public importance, disclosure is necessary or appropriate or if we found any unethical / illegal/ forbidding / Tax evasion / any sort of threatening to company and its employees will directly leads to the legal consequences as our company is bound and respect the law of the Land.
Additionally, in the event of a reorganization, merger, or sale, we may transfer to the relevant third party any and all personal information we have collected.
6. Customization and Configuration
a. In respect of all IT Services / Products Developed /manufactured / Catered and supplied to the Company by third parties the Company will pass to the Customer (so far as possible) the benefit of any warranty given to the Company by such third parties and will (on request) supply to the Customer details of the terms and conditions of such warranty and copies of any relevant product information sheets, technical data sheets or product leaflets issued by such third parties and the Customer shall be solely responsible to the entire exclusion of the Company for complying with these. Save as aforesaid the Company will not be liable for or in respect of any loss or damage caused by, or resulting from, any variation (for whatever reason) in the Supplier's specifications or technical data and will not be responsible for any loss or damage resulting from curtailment or cessation of supply following such variation.
The Company will endeavor to advise the Customer of any such impending variation as soon as it receives notice thereof from the Supplier/Vendor.
b. Unless otherwise agreed IT Services / Products is supplied in accordance with the Supplier's standard specifications. The Company reserves the right to increase it's quoted price or to charge accordingly in respect of any orders accepted for IT Services / Products of non-standard specifications or which require configuration to the Customer's specific requirements and in no circumstances will the Company accept cancellation of orders for or the return of IT Services / Products of non-standard specification or which has been specifically configured to the Customer's requirements.
7. Professional Services and Support Agreements : Project work undertaken by the Company may be supplied in accordance with a Professional Services Agreement. Support contracts undertaken by the Company are undertaken in accordance with Service Level Agreements. Where these agreements exist they will take precedent over these Terms and Conditions.
